Job Responsibilities:The Corporate Counsel is responsible for overseeing legal operations in the United States. Reporting to the General Counsel and working closely with senior management, this is a true generalist role, focusing on all aspects of the business with particular attention to regulatory compliance, risk management, and corporate governance functions. Experience with government contracts and public procurement (RFP) processes is strongly preferred and the ideal candidate would have additional experience in one or more of the transportation, tolling, and/or public infrastructure industries.
Essential Functions:
- Regulatory and Company Compliance: Ensure compliance with federal, state, and local regulations, including regional transportation regulatory bodies. Ensure compliance with company and group policies.
- Risk Management: Collaborate with internal stakeholders, including finance, operations, and business development teams, to mitigate legal risks. Work with insurers and sureties to ensure compliance with company and contract requirements.
- Corporate Governance: Advise on corporate policies, governance best practices, and board matters, ensuring adherence to legal and ethical standards.
- Public RFPs: Assist with government procurement processes, including responding to public RFPs.
- Public Information/FOIA: Work with external legal counsel and internal teams to ensure protection of intellectual property and sensitive commercial information when responding to public information requests.
- Intellectual Property & Technology: Provide guidance on legal matters related to data privacy, cybersecurity, and intellectual property rights.
- Litigation Support: Assist in managing litigation, arbitration, and regulatory investigations related to tolling enforcement, procurement disputes, and compliance issues.
Qualifications:
- Licensed to practice law in Texas or ability to become a Texas Bar member within one year of hire.
- Minimum of 5 years of experience at a large law firm or in-house legal department.
- Strong experience with government contracts and public procurement (RFP) processes.
- Expertise in corporate governance, compliance, and risk management.
- Excellent negotiation, drafting, and analytical skills.
- Preferred but not required: Experience in transportation, tolling, or public infrastructure.
