Job Summary:The Corporate Counsel will review and draft IT, employment, real estate and client/vendor contracts. The corporate counsel will work directly with marketing, sales, corporate and operations personnel, company client representatives and company outside legal counsel to resolve issues, and is responsible for protecting the company's interests in its dealings with clients and vendors. be responsible for the negotiation and management of customer contracts, insurance matters and employee relations. Advises management regarding compliance with applicable international, federal, state and local laws, as well as company policies and procedures, affecting company operations and coordinates the work of outside counsel when necessary.

Principal Responsibilities:
- Acts as a legal advisor to the corporate and operations teams of the company and its subsidiaries.
- Participates in the evaluation of new business opportunities, reviews requests for proposals and company proposals, grants legal department approval of company proposals and records any related caveats and/or conditions.
- Examining and creating draft agreements, such as employment, client, subcontractor or vendor agreements.
- Addresses client/vendor contracting issues and disputes; coordinates and manages disputes assigned to outside counsel while effectively managing internal/external legal costs.
- Develops and improves contract templates, handles all contract drafting, review and negotiation, either directly or by training of non-legal staff as appropriate.
- Maintaining knowledge of company's operations and legal documents.
- Conducting legal research and review company's litigation strategy pertaining to legal actions.
- Handling statutory filings, such as business registration and licensing requirements.
- Ensuring compliance with local, state, and federal laws and regulations.
- Designs and implements strategic education and training initiatives to raise company personnel awareness of risk issues and ensure compliance with company policies and procedures.
- Other duties and projects as assigned by the General Counsel of the company.
Education and Experience:
- Juris Doctor Degree from accredited law school.
- Candidates should have a minimum of 10 years of experience that includes significant transactional experience negotiating and reviewing construction related agreements with an established law firm or as Corporate Counsel.
- Preferred candidates will have substantive experience in claims and dispute resolution experience.
- Preferred candidates will have in-house experience with a company in the Restoration or Construction industry and at least 5 years of experience representing restoration or construction contractors at a reputable law firm.
- Excellent verbal and written communication skills.
- Knowledge of statutes, rules and regulations pertaining to residential and commercial construction and related mechanic's lien law.
- A solid working knowledge of insurance, contract and employment law preferred.
- Proficient understanding of business sensitivities and confidentiality.
