Who You Are:
You will report directly to our General Counsel and be responsible for supporting Sila's governance function and securities law requirements, M&A activities and financing transactions, and providing counsel on a multitude of Company-related business issues, including employment and compliance. You will work cross-functionally to advise and train on issues, opportunities, risks, sophisticated agreement structures, and company policies and procedures.

Responsibilities and Duties:
  • Advise on matters including governance, securities, financing (debt and equity), compensation programs, financial audits, M&A, joint ventures, subsidiary formation and maintenance, and general corporate matters
  • Be responsible for corporate record keeping, board resolutions and minutes, regulatory filings, investor relations, due diligence projects, and equity plan administration, as needed
  • Lead creation, review, and maintenance of our governance, ethics, and compliance policies and trainings
  • Partner with Legal, Finance, People Operations, and Strategy to establish processes and identify risks & opportunities in legal strategy
  • Advise and assist on a broad range of adjacent legal projects and matters as needed, including those relating to employment law, workplace investigations, antitrust and competition, real estate leases, and tax

Knowledge and Skill Requirements:
  • JD degree and admitted to practice in California
  • 2 - 5 years of corporate governance and securities experience in a global law firm and/or in-house legal department
  • Strong understanding of both private company transactions and public company reporting
  • Diligent with excellent legal judgment, strong communication and organizational skills, and proven track record delivering creative and thoughtful results
  • Passion for a data-driven approach to building efficient processes and operations

Physical Demands and Working Conditions:
  • Move long distances (such as from building to building) and be stationary for extended periods of time
  • Operate a computer and other office equipment, such as a laptop, copier/printer, etc in a fixed location
