Position Summary:
The Corporate Counsel, Commercial Transactions will provide legal advice to internal teammates and partner with them to: (i) structure commercial transactions and draft and negotiate the corresponding commercial agreements; (ii) develop marketing, social and digital campaigns and terms (sweepstakes, contests, charitable/purpose driven campaigns); and (iii) develop and draft corporate policies.

The Corporate Counsel, Commercial Transactions will work across all departments, with the following estimated mix: marketing (40%); social/digital (20%); sales (20%); and all other (20%).

This is a great opportunity for an attorney who seeks significant responsibilities across a range of legal matters, enjoys working closely and often cross-functionally with a broad spectrum of internal clients, and wants to play a meaningful role in building strong and scalable legal operations for a leading beauty company. This is a “generalist” role, with an emphasis on commercial transactions.

Partner with internal clients to review commercial transactions and draft/negotiate the corresponding agreements. Representative agreements may include:
  • Marketing: marketing activations for products and brands, brand collaborations, licensing transactions, PR/media events
  • Social/Digital: influencer agreements, new platforms
  • Sales: customer agreements, international distributor agreements; and
  • Other: IT (new technologies, software and platforms), supply-chain (warehouse services), regulatory, MSAs and NDAs
  • Develop marketing, social and digital campaigns and terms (sweepstakes, contests, charitable/purpose driven campaigns)
  • Develop corporate policies in areas of interest (HR, supply-chain management)
  • Assist with legal department systems (i.e. template management, workflows, contract and legal matter management systems) and automation across contract and other legal matters
  • Provide education and training on relevant legal issues and develop processes and best practices to support business needs and generate efficiencies

  • JD from a top law school
  • 3-5 years of legal experience
  • Must be a member in good standing of one State Bar, preferably California
  • Prior law firm and/or in-house tenure; experience with beauty, CPG companies or marketing focused legal work a plus

Essential Skills
  • Experience with commercial contract drafting and negotiation
  • Experience interacting with clients and managing or escalating questions or issues as appropriate
  • Excellent legal and business judgment and the ability to demonstrate success balancing the need to limit risk to the organization with the goal of supporting the creativity, enthusiasm and pace of internal clients
  • Ability to work independently but collaboratively within a fast-paced, high performance environment, providing legal advice and guidance related to a wide range of commercial contracts, research, and other business matters
  • Sense of urgency, with the ability to identify and articulate issues, offer solutions and follow-through to resolution
  • Strong capacity to manage own performance independently and effectively, exhibiting excellent time management and attention to detail
  • Strong interpersonal and organizational skills; as well as analytical thinking and problem solving skills
