Description:
Position Summary:An In-House Firm's Legal Department is responsible for the management and negotiation of legal and risk issues across the company's diverse portfolio of real estate assets including mixed use, commercial, industrial, hospitality, multifamily, and master planned community properties. The Corporate Counsel has legal oversight for An In-House Firm's corporate entities, corporate contracts and other corporate enterprise matters along with responsibility for An In-House Firm's contracts platform supporting all business units. The Corporate Counsel will also provide legal support for An In-House Firm's equity platform. The Corporate Counsel will work closely with the Company's legal and executive teams, and will have the opportunity to work with all of Company's business line leaders.
Key Responsibilities:
- Provides accurate, relevant and timely legal advice to constituents across multiple business lines
- Prepares, reviews and negotiates company contracts, requests for proposals and other legal documents
- Oversees the Company's external contracts platform for all construction, architecture, operations, and other consultant/vendor contracts
- Assists with corporate finance matters
- Facilitates internal and external equity transfers and amendments to corporate organization documents
- Reviews, prepares, provides quality and oversight with respect to company investments and investor communication materials
- In concert with other staff, maintains responsibility for corporate entity formation, entity maintenance and annual compliance issues, including Corporate Transparency Act
- Supports operation of the Company's employee equity platform and profit-sharing programs
- Supports the Company's brokerage operations
- Manages and mitigates risk by establishing and implementing corporate policies on industry-specific issues
- Conducts legal research and stays up-to-date with changes in laws and regulations that may impact the Company
- Designs and delivers relevant legal training to the business units
- Is a strong representative of An In-House Firm's brand and principles. Models highest levels of professionalism, ethics, practical problem solving, communication and collaboration
- Manages other projects and matters, as assigned and based on interest
Qualifications:
- 4-6 years of relevant experience as a corporate and/or contracts attorney at a national or large regional law firm or within a corporate legal department
- JD from a highly regarded ABA accredited law school
- Member in good standing of at least one state bar, with ability to obtain Colorado single client license
- Unquestionable integrity, with experience managing organizational conflicts of interest and ethical issues
- Self-starter with the ability to succeed and multitask in fast-paced environment with competing deadlines
- Very strong communication, leadership and presentation skills
- Highly responsive with ability to develop strong working relationships
- Strong technology skills along with ability to quickly learn new technology platforms
- Real estate or finance experience preferred
