Position Summary:
The Compliance Lawyer will work alongside leadership and support Senior Management and the General Counsel's office with engagement letter review and negotiation. This work involves interaction with the Firm partnership, Office of the General Counsel, and Compliance and New Business team in relation to review, collection, drafting and negotiation of engagement documentation including engagement letters, outside counsel guidelines, and framework agreements. The Compliance Lawyer is responsible for tracking and monitoring of pending engagement documentation and reviewing such documentation for compliance with applicable rules and regulations, Firm policy, and departmental processes.

The attorney is also responsible for reviewing and responding to inquiries from clients with respect to due diligence about the Firm and supporting the client audit and business development teams in providing answers to questions from clients about the Firm.

Duties and Responsibilities*
  • Support Senior Manager of Compliance and General Counsel team with oversight of all functions in relation to engagement letter documentation.
  • Draft waivers and negotiate with Firm Partners and Outside Counsel in connection with engagement terms in accordance with rules of procedure and Firm risk management protocols.
  • Review and analyze engagement agreements and outside counsel guidelines in collaboration with General Counsel team. Conduct first level review and send for review by Subject Matter Experts or the Office of the General Counsel in a timely fashion.
  • Develop understanding of standard terms of engagement and conduct risk assessment to determine which terms are non-negotiable.
  • Liaise with the New Business Team to ensure client records accurately reflect client identity, scope of work, conflict waivers, and other relevant engagement terms.

Education and Qualifications:
  • Bachelor's Degree.
  • JD and Bar license in Good Standing.
  • Two years experience in an Am Law 200 law firm, preferably in the firm's Conflicts Department or General Counsel's office, or comparable government or in-house legal experience.

  • Proficiency in Excel.
  • Familiarity with Intapp Conflicts and Intake systems.

Location & Reporting
  • This is a staff attorney role (not partner track) based in either New York, Tampa, London, or Manila.
  • This is an exempt position and may require monitoring after normal business hours.
  • This role reports to the Senior Manager of Compliance.
