As a result of An American Industrial Holding Company's ongoing growth and continued commitment to global compliance, the An American Industrial Holding Company Corporate Legal team is now looking to add a Compliance Counsel with strong organizational & analytical skills, keen business acumen, and relevant experience in corporate compliance, including anti-bribery and anti-corruption laws, import & export regulations, and cybersecurity & privacy regulations.This position will report to An American Industrial Holding Company's Chief Compliance Officer and will have the flexibility to work a hybrid schedule – a combination of time in An American Industrial Holding Company's downtown Chicago office, working from home, and periodically traveling as needed. Consideration will also be given to fully remote candidates.
What You'll Do:
The Compliance Counsel will be responsible for providing legal advice and counsel on a variety of global compliance matters, including but not limited to:
- Collaborating with management and the business units to ensure each business unit complies with An American Industrial Holding Company's ethics and compliance policies, including Prohibited Business Practices Policy and Code of Conduct; Invention, Confidentiality, Communications, IT and Respectful Workplace Policy; Intermediary Vetting Policy; Compliance with Trade Laws Policy; and Data Privacy & Joint Controller Policy
- Ensuring compliance with An American Industrial Holding Company's Supplier Code of Conduct and overseeing vendor assessments related to the risk of unethical conduct such as forced labor, human trafficking, and conflict minerals
- Providing legal advice and counsel to An American Industrial Holding Company businesses and management with respect to global regulatory compliance in the areas of anti-bribery and anti-corruption, import & export, cybersecurity, and privacy laws
- Conducting periodic compliance risk assessments with An American Industrial Holding Company business units and providing legal advice related to process improvements and risk mitigation steps; also supporting An American Industrial Holding Company's General Counsels in ensuring implementation of such initiatives by An American Industrial Holding Company's business units
- Serving as Secretary to An American Industrial Holding Company Compliance Committee and China Compliance Subcommittee
What You'll Bring to the Role:
- J.D. from an accredited law school with proven academic success
- At least five years of relevant legal experience, preferably in a law firm and/or a corporate or regulatory setting, with a strong knowledge of all areas of global compliance law; experience with advising on or creating and implementing corporate compliance programs is a plus
- Demonstrated ability to proactively and independently handle a variety of anti-corruption, anti-bribery, import & export, cybersecurity, and privacy law matters
- Experience interacting with regulators such as the U.S. Office of Foreign Assets Control, Securities and Exchange Commission, and Department of Justice is a plus
- Experience with global business transactions is preferred, particularly in Mexico and China
- Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style
- Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility
- Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience
- Proven success in managing, organizing, and/or completing multiple tasks and priorities
- License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois
