Description:
The Commercial Counsel will spend significant time on all forms of commercial contracts for enterprise and US public sector customers. The Commercial Counsel will adapt to rapid growth of the company and handle special projects from time to time. The Commercial Counsel will report to the Director of Legal & Compliance.Responsibilities include:
Qualifications:
- Drafting, negotiating, and/or reviewing commercial agreements such as SaaS subscription agreements, professional services SOWs, partner/reseller/referral agreements, data privacy/data security agreements, requests for proposals (RFPs), vendor agreements, development agreements, and NDAs.
- Provide legal advice to team members, leaders and executives.
- Interface with customers' legal and business teams to negotiate contracts and close transactions.
- Interface with all business units (Sales, Product, etc) domestically and internationally to understand key commercial requirements.
- Build business relationships with, and gain trust of the internal clients and customers.
- Help to build and maintain scalable frameworks and processes.
- Support continuous improvement of standard form agreements, policies and legal processes related to commercial transactions.
- Handle special projects as requested
Qualifications:
- 3-5 years of drafting and negotiating complex enterprise SaaS agreements for the Go-To-Market team at a high-growth technology company catering to Fortune 500 companies.
- Combination of law firm and in-house experience with a high-growth technology company.
- Experience in Software Products, SaaS or AI companies is preferred.
- Familiarity with data privacy regulations (i.e., GDPR, CCPA/CPRA) and the evolving AI regulatory landscape (i.e., EU AI Act, Colorado AI Act).
- Ability to develop creative, business friendly solutions to solve issues as part of complex negotiations, keep all tasks organized and stakeholders clearly informed of deliverables and timelines.
- Experience (required) in negotiating intellectual property ownership and license provisions.
- Experience working independently in a fast-paced environment with minimal supervision.
- Superior work ethic and commitment to professionalism, including ability to turn around projects within designated legal SLAs.
- Outstanding interpersonal, oral, and written communication skills.

- Customer service mindset with great sensitivity, common sense and creativity to solve potential business and legal issues.
- Active Bar License in good standing or registered as in-house counsel (or eligible to register).
