Join us as a Senior Capital Markets Lawyer within one of the world’s leading Investment Banking franchises. As part of this team, you will support the Capital Markets group of the Investment Banking division, with a focus on debt transactions. This dynamic role involves, among other activities, the following principal responsibilities: Advise bankers and capital markets professionals on a broad variety of topics that arise in connection with capital markets transactions. Review SEC-registered, Rule 144A offerings and Section 4(a)(2) placements of equity and equity-linked securities underwritten by Credit Suisse and its overseas affiliates, including both lead-managed and co-managed deals. Answer a broad variety of questions from bankers and outside counsel that arise during a transaction, including general deal mechanics. Attend and advise senior investment bankers in Investment Banking Committee meetings. Review and negotiate underwriting/purchase agreements, legal opinions, comfort letters, lock-up agreements in coordination with equity offerings and other transaction documents. Review and comment on offering documents and check for compliance with Credit Suisse guidelines. Assist in the review and preparation of responses to SEC comments, when applicable. Review FINRA issues and correspondence and prepare responses to FINRA questionnaires, if required.

The role of the Investment Banking General Counsel function at Credit Suisse is to act as a trusted advisor to the business. We play a crucial role in supporting the Investment Banking division in execution of their transactions and strategic aims. We provide legal and regulatory advice to the banking teams as well as and co-ordinate with General Counsel and other colleagues. Your skills and experience
- J.D. or equivalent and N.Y. State bar admission is essential
- Proven knowledge and understanding of securities laws and regulations relating to equity capital markets transactions, whether registered in the United States or pursuant to registration exemptions.
- Communicate legal advice in a clear and concise manner and in a timely fashion
- Possess exceptional written with ability to communicate optimally at all levels.
- Be a team-oriented individual who will collaborate on drafting legal guidelines and managing projects, including building and refining standards, and other guidance materials.
- Dedication to fostering an inclusive culture and value diverse perspectives
The salary range, if this role is being hired in New York City, is $210,000 - $270,000 annually, based on various factors such as experience, education, skills, internal and external market data, etc.
