About the role:
Roku, Inc. is seeking an experienced attorney to join its legal team. This position, based in Roku's Santa Monica or San Jose office, will provide legal support to Roku's Account Acquisition and International groups, with an emphasis on our worldwide Roku TV, audio and other licensing programs, and our retail and distribution relationships. The ideal candidate in this position will have the opportunity to help lead and execute commercial licensing agreements with key Roku partners, from providing strategic business advice, to structuring, drafting and negotiating contracts. The position will report to the VP, Business and Legal Affairs.

What You'll Be Doing:
  • Draft and negotiate technology licensing and distribution agreements with our consumer electronic and service provider partners.
  • Draft and negotiate retail and distribution arrangements, domestic and international.
  • Provide business and legal counsel in support of Roku's broader strategies.
  • Partner with sales, operations and engineering teams on the productization and commercialization of products and programs to support Roku's growth by providing legal advice on a range of issues arising from the development of new products and features in Roku TV and other device programs, including the expansion of these programs to new partners and new countries.
  • Act as a subject matter expert on issues related to Roku's licensing programs and retail distribution relationships, including key commercial terms and conditions, intellectual property considerations, management of third party intellectual property risks, export/import compliance, tax structuring, product advertising, marketing and promotion.
  • Support and improve scalability and consistency in various programs across countries and partners.
  • Communicate with executive management and manage outside counsel.
  • Collaborate with cross-functional teams, both within and outside of the Legal department, to support Roku's platform and product development efforts.

We're excited if you have
  • At least 7-10 years of transactional legal experience at a law firm and/or a corporate legal department with an emphasis on drafting and negotiating licensing and technology transactions.
  • Prior experience with intellectual property, patent infringement claims, data privacy and security issues in the context of technology and digital media transactions
  • Can see the “big picture” and translate strategy into practical advice. Comfortable with ambiguity in an evolving company.
  • Ability to dynamically assess risk and determine priorities based on the changing needs of the business, and to provide practical solutions.
  • Ability to work collaboratively in a cross-department, cross-functional role, exercising leadership as needed to create legal structures for new initiatives.
  • Ability to think clearly and succinctly articulate a negotiating position, as well as to draft contracts in clear, concise language.
  • Bachelor's degree and a Juris Doctorate degree from a U.S. accredited law school.
  • Licensed to practice law in the State of California.
