What You'll Do:
As Associate General Counsel with The Fedcap Group, a $400 million global nonprofit organization, you'll provide key legal and compliance support for a rapidly expanding workforce development, human services, and economic development organization. Reporting to the General Counsel and working closely with the Compliance Officer and executive and leadership teams, you'll provide effective legal counsel on government and general contracting, compliance, and general legal issues. Additionally, you'll play an integral part in supporting and maintaining a work environment focused on excellence, respect, open communication, collaboration, and teamwork.

Your responsibilities will include:
  • Managing revenue and vendor contracting process, establishing procedures for the review, negotiation and execution of agreements.
  • Implementing new contracts, ensuring key stakeholders have a substantive understanding of key terms and conditions.
  • Managing amendments and conflict resolution with vendors and funders.
  • Managing the consultant contracting process, tracking agreements and ensuring linkages are established with other key areas.
  • Developing, initiating, maintaining and revising policies and procedures for contracting as well as the compliance program and its related activities.
  • Administering, with the Compliance Officer, reporting process and oversight for program audit activity.
  • Managing internal audits and reviews, developing and implementing continuing improvement plans.
  • Assisting the Compliance Officer in revising and updating the compliance program as needed.
  • Advising the General Counsel on legal aspects of the organization's activities particularly related to contracting and compliance matters.
  • Supporting board management across the Fedcap footprint.
  • Proactively addressing rapidly evolving regulatory and governance compliance environment including changes in laws and regulations, regulatory focus areas, and industry best practices.
  • Providing leadership and technical guidance to ensure an effective global ethics and compliance program.
  • Contributing to the organization's overall success by accepting new assignments, helping team members, learning new skills, and striving to improve team results.

You're a great fit for this role if you have:

  • A JD from an accredited law school and an active license to practice law.
  • 10+ years of legal experience, preferably including non-profit business experience and international experience – Canada, EU, and UK.
  • Ability to build and manage strong interpersonal relationships with internal and external stakeholders, anticipating and responding to requests on a timely basis..
  • Significant experience working with external auditors, creating and revising internal controls and addressing compliance-related issues.
  • Ability to comprehend, interpret, provide guidance, and apply the appropriate sections of applicable laws, guidelines, regulations, ordinances, and policies.
  • Ability to effectively manage crises, i.e. - analyzing a situation and resolving it while maintaining an executive presence.
  • Ability to function well in a fast-paced and at times stressful environment
