Position Summary:The Associate General Counsel (Residential Mortgage Business) will provide legal support to the Residential Mortgage Business (including capital markets, whole loan trading, securitization, mortgage loan servicing, regulatory compliance, investment portfolio and business development teams), with a strong focus on drafting and negotiating complex contracts for the purchase and sale of residential mortgage loans. Documentation will include, among others, residential mortgage loan purchase, sale and servicing agreements (MLPSAs), nondisclosure agreements (NDAs), commitment letters, bailee agreements and related documentation.
The Associate General Counsel (Residential Mortgage Business) will also provide legal support for the issuance of residential mortgage backed securities on the Residential Mortgage Business's securitization platform, the oversight of the Residential Mortgage Business's legacy structured finance transactions, the tracking of industry developments and implementation of regulatory reforms relating to the structured finance industry and other legal and compliance matters that arise in the ordinary course of operating a mortgage loan aggregation platform. Depending on experience, background and interest, this role may also involve broader corporate level legal and litigation matters. The position reports to the Senior Vice President – Residential Legal located in Englewood, Co. Office locations also available in New York, NY, Charlotte, NC, Irvine, CA or Mill Valley, CA.
Nature of the Role
The Associate General Counsel (Residential Mortgage Business) will generally interact directly with the Residential Mortgage Business's legal, capital markets, operations and servicing teams and operate independently on a day-to-day basis, with close support from the Senior Vice President – Residential Legal, as well as support from the Chief Legal Officer of A Specialty Finance Company and peer attorneys within the A Specialty Finance Company legal team. A Specialty Finance Company legal/compliance team works closely and collaboratively with each other and with the various business and administrative functions of the company.
Required Education, Experience, & Skills:
- Juris Doctorate from a nationally-recognized law school with strong academic credentials
- 2 - 4 years working experience as an attorney in the subject matter (law firm or inhouse)
- The ability to communicate effectively with team members, meet deadlines timely and deliver quality results in an often high pressure environment
