The Role:
This position is designed for a strategic business lawyer who understands our business and wants to make an impact by helping structure and document transactions with leading companies across many different industries, all over the world. As Associate General Counsel, this role will be the second legal hire at Candex, reporting directly to the General Counsel. This role will provide negotiation, and business counsel support for key commercial transactions, driving projects to completion and helping mitigate critical legal and business risks. This role will partner closely with the sales team, as well as customer success and account management, finance, and other teams to execute on company business objectives and drive legal departmental initiatives.

Key Responsibilities:
  • Leverage existing experience to draft and negotiate complex sales transactions, including SaaS and Services agreements and accompanying Data Privacy Agreements with a variety of customers and partners across many different industries (e.g., pharmaceutical, consumer goods, agriculture, manufacturing, tech, telecommunications, financial services, universities).
  • Support sales, customer success, and other internal stakeholders in fielding legal and compliance questions from existing and prospective clients.
  • Track new regulations, statutes, and directives that impact our business and, working together with the Legal team, external advisors, and internal stakeholders modify our SaaS and Services template agreements as required.
  • Support internal colleagues and stakeholders in vetting and engaging external service providers to support their needs, including working closely with Information Security to ensure appropriate data privacy language is included in agreements with our service providers.
  • Manage the full contracting lifecycle of commercial agreements.
  • Assist in implementing processes and procedures to track and maintain commercial, procurement, employment, and other agreements.
  • Develop and support others in developing additional legal and compliance resources for contracting and regulatory compliance.

Requirements:
  • J.D. from an accredited law school
  • Member in good standing from New York Bar or another state or jurisdiction
  • 5-10 years combined law firm and in-house legal department experience
  • Substantial experience negotiating SaaS agreements, Services Agreements, Data Protection Agreements, vendor/supplier contracts, and reseller agreements
  • Fintech and payments experience preferred
  • Excellent written and verbal skills and a proven ability to work cross-functionally with internal and external stakeholders
  • Professional, responsive, thoughtful, and able to effectively prioritize competing demands while satisfying strict timelines
  • Creative, collaborative, and driven to help scale our solution, with a passion for facing and developing strategic solutions to complex legal and regulatory frameworks
  • Experience with data privacy frameworks, including under the GDPR, CCPA/CPRA, and familiarity with other US state and foreign data privacy and security laws
  • Familiarity working across the globe, to support multiple time zones and cultures
  • Familiarity with key provisions of US and foreign anti-corruption/anti-bribery, and anti-money laundering laws
  • Desire and ability to develop a working knowledge of our Platform and business model.
