This role has a critical function to play in supporting the SVP in managing An Enterprise Technology Platform's Governance and Securities. The ideal candidate will be responsible for ensuring regulatory compliance and driving strong internal partnerships and effectiveness with Board and Committee members. This role involves overseeing corporate policy, monitoring business practices, and ensuring compliance with internal and external regulations. The ideal candidate will have a strong knowledge base of corporate governance, strong analytical skills, and a sharp eye for detail.

The Main Responsibilities:
Regulatory Compliance and Governance:
- Prepare and review SEC filings, including proxy statements, Section 16 filings, and periodic and current reports and assist with Annual Shareholder Meeting
- Maintain policies and procedures relating to securities law compliance and disclosure matters
- Advise and assist An Enterprise Technology Platform's board and its committees, including preparing and reviewing materials for meetings and taking minutes of meetings
- Management of An Enterprise Technology Platform's corporate governance policies and support of An Enterprise Technology Platform's corporate secretarial function
- Oversee the operation of, improvements to, and compliance with An Enterprise Technology Platform's insider trading programCommunication and Public Relations:
- Review and advise on external public-facing communications, policies and reports, including earnings releases, press releases, investor/analyst presentations and shareholder engagement.
- Transactional Support:
- Provide support for corporate and capital markets transactions, as needed.
- Coordinating work and advising with outside counsel and internal clients while effectively managing outside counsel work product and costs
What We Look For in a Candidate:
- J.D. from an accredited law school with strong academic credentials
- Admission to the Bar in a state where the attorney is located
- 5+ years of relevant legal experience, with both law firm and public company experience
- Significant public company experience and in-depth knowledge of public company financial reporting rules and regulations
- Prior practice and experience preparing securities filings, advising on corporate governance matters and overseeing compliance with SEC rules, stock exchange requirements and Section 16 matters
- Experience supporting a public company board of directors, including board portal fluency
- Solid business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the related risks/rewards
- Ability to work autonomously
- Strong organizational skills, attention to detail, flexibility, and ability to thrive in a fast-paced environment
- Proactive personality, eager to learn and grow
- Ability to communicate effectively with a non-legal audience
