The Role:
Reporting to the VP/Deputy General Counsel, this role will serve as a primary legal contact for the Treasury department. This is a critical role that provides counsel to An Enterprise Technology Platform senior management and executives on complex and high-profile capital markets transactions. The position will support the An Enterprise Technology Platform Treasurer and will have significant contact with senior executives, upper management and numerous other business leaders across An Enterprise Technology Platform.

This role is designed as fully remote, US.

The Main Responsibilities:
  • Leading or providing significant legal support to the Treasury team on large capital market issuances ($1B+);
  • Negotiating and preparing transaction documentation, including, indentures, notes, credit agreements, collateral agreements, annual compliance certificates, etc.
  • Taking responsibility for transaction management, including performing due diligence, and conducting all pre- and post-closing activities.
  • Maintaining primary responsibility for interpreting debt covenant requirements and working across multiple departments to ensure compliance.
  • Providing general support on corporate compliance, corporate structure, subsidiary management and internal/affiliate transactions and restructurings;
  • Managing outside counsel and the paralegal team as necessary;
  • Providing legal counsel on corporate matters; assessing and effectively managing legal risk; conducting legal analyses; negotiating legal transactions; and advising and collaborating with others throughout An Enterprise Technology Platform on strategy and potential legal solutions. 
  • Developing a strong working relationship with senior management, cross-functional peers and other business stakeholders; including the Tax, Treasury, Accounting and Regulatory departments, as well as external advisers (accountants, bankers, consultants and outside counsel).

What We Look For in a Candidate:
  • 8+ years of relevant legal experience strongly preferred
  • J.D. degree and licensed to practice law by the State Bar in the state where the attorney is located is required
  • Keen interest and a demonstrated history of working on complex capital market transactions.
  • Someone who relishes the opportunity to work in a fast-paced environment on large capital market and corporate transactions that have national and international implications and provide the opportunity to work along with, and negotiate against the most sophisticated legal and investment banking advisors in the US.
  • An appreciation for drafting and negotiating debt and other capital market instruments.
  • Someone who can be very detail oriented and keep track of many different projects at once.
  • Ability to efficiently manage a high volume of complex and critical work with urgency and with limited to no supervision.
  • Proactively identify issues and suggest and implement responsive solutions.
  • Experience in advising all levels of the organization, including senior level executives and is comfortable handling projects in a solutions-oriented manner.
  • Experience in securities, including corporate governance, SEC and stock exchange compliance & SEC filings (10-K, 10-Q, 8-K) is a plus.
