The Tax Counsel will help support A Financial Services Company's equity business (private equity and hybrid value) and Financial Investments Group (FIG). This role is largely transactional with investments spanning private equity-like transactions, preferred equity transactions, structured debt transactions, and platform tax structuring. While the Tax Counsel will partner with outside counsel as it relates to structuring and investor-level sensitivities, building relationships with investment teams to monitor the investment pipeline and issue spot before outside counsel is engaged is an important part of the role. The Tax Counsel will also work closely with a wide range of in-house groups including legal, finance, tax reporting and CPS. This role is part of a small team which covers all of the firm's tax advisory demands/needs.
Primary Responsibilities:
- Monitor, track and ensure prompt and appropriate tax support for the equity and FIG businesses on complex and diverse tax issues on a wide variety of transactional matters and investment strategies
- Assess potential risk related to tax aspects of transactions and A Financial Services Company's business more broadly
- Assist in the creation of new products that relate to the business units covered, including advising the marketing team on tax considerations with respect to proposed terms, and working with internal and external counsel on legal documentation and offering documents
- Prepare internal memos on tax analysis
- Partner and interface with legal and tax finance on all transactions
- Supervision of, and collaboration with, external legal counsel and accounting advisors
Qualifications & Experience:
- Juris Doctorate from an accredited law school; member in good standing with the New York State Bar Association
- 3-5 years of relevant legal experience at a top-tier law firm or in-house at a global financial services firm/alternative asset manager
- Experience with tax M&A is required
- Exposure and experience with fund formation are a plus
- Flexibility to work across different business units as needs arise
- Exceptional communication skills, both written and oral; ability to distill complex concepts into discernable terms
