Description:
How You'll Contribute:As the Associate Counsel, Investments, you will play a critical role in managing transactional legal matters for our investments team. You will ensure compliance, support due diligence, and provide legal expertise to drive seamless investment operations. This position requires a collaborative professional who values precision and thrives in a dynamic, team-oriented environment.
What You'll Do:
- Transactional Support:
- Review due diligence materials, confidentiality agreements, term sheets, and transaction documents.
- Collaborate with internal stakeholders and external counsel to ensure successful transaction execution.
- Manage the transaction closing process, ensuring all deliverables and conditions are met
- Investment Compliance:
- Monitor and report investment compliance to ensure adherence to the Investment Advisors Act.
- Conduct and document AML/KYC searches, addressing follow-up matters.
- Update investment policies and distribute relevant documents to stakeholders
- Cross-Functional Collaboration & Support:
- Assist with audit confirmations, corporate minutes, and other documentation.
- Partner with departments like Internal Audit, Communications, and Legal & Compliance to fulfill investment-related requirements
Education:
- Bachelor's Degree required
- Juris Doctor (JD) degree.
- Active license to practice law in any U.S. state.
Experience:
- Minimum 2 years of legal experience in investments, insurance, or asset management.
- Preferred experience in an AmLaw 200 firm or corporate legal department
Knowledge, Skills, and Abilities:
- Strong understanding of investment transactions, including debt, equity, and fund investments.
- Proficiency in AML/KYC processes and legal compliance standards.
- Advanced skills in Microsoft Office, especially Excel.
- Exceptional analytical, communication, and problem-solving skills.
- Ability to manage multiple priorities in a fast-paced environment while fostering collaboration and inclusivity
