Job Description:
The Associate Corporate Counsel – Contracts Specialist provides legal support and advice to the company on a legal matters, focusing on drafting, negotiation, and management of various contracts. This position works closely with other members of the legal team, outside counsel and business partners as contracts move through their lifecycle.

Job Responsibilities:
  • Draft, review, and negotiate a wide range of contracts, with particular focus on commercial agreements as well as including but not limited to vendor contracts, partnership agreements, NDAs, DPAs, and licensing agreements.
  • Identify and mitigate legal risks associated with contract terms and ensure compliance with applicable laws and company policies.
  • Provide risk-calibrated legal solutions and recommended courses of action for a wide variety of business issues, including technical, operational, and client-facing matters.
  • Work closely with various departments, including sales, procurement, and operations, to ensure that contractual terms align with business objectives and minimize risks.
  • Support the sales team throughout the customer contract lifecycle, including upgrades, cross-selling, and amendments.
  • Oversee the lifecycle of contracts, from initial drafting through execution and renewal, ensuring timely and accurate management of all contractual obligations.
  • Provide legal advice and guidance to internal stakeholders on contract-related matters, including potential disputes, regulatory compliance, and risk assessment.
  • Develop and deliver training programs for internal teams on contract management best practices and legal considerations.
  • Stay up-to-date with changes in contract law and industry regulations, and continuously seek to improve contract processes and templates.
  • Support with optimization and maintenance of contract management and workflow tools to communicate with teams across the organization (Linksquares/ Monday.com)

Qualifications:
  • Strong analytical and problem-solving abilities, along with an ability to collaborate cross-functionally and learn quickly.  
  • General understanding and willingness to learn global and domestic data protection laws and practices.     
  • Strong attention to detail, exceptionally organized, and able to multitask in a fast-paced environment.      
  • Strong technical vocabulary and the ability to communicate and translate between legal issues and business concerns.    

Education and Experience:
  • Juris Doctor degree from accredited law school.  
  • Currently admitted to a state bar and eligible to practice law in that state.      
  • 6-10 years' experience in a similar in-house corporate counsel position.  
  • Prior experience working in house at an advertising agency, public relations agency, or marketing centric company preferred but not required.  

Travel Requirements:
Travel for this position will be required as needed to attend internal and external meetings.

Supervisory Responsibilities:
This position will not supervise others.
