The Firm is seeking an Assistant Vice President to join the growing Legal & Regulatory team in its New York office. The role will be primarily responsible for negotiating placement agent agreements, letters of understanding, selling agreements and other product distribution-related agreements with the wealth management intermediary channels and platforms in relation to An Alternative Asset Management Company and Oaktree private and registered funds. The role will have responsibility for a range of work, including advising on the regulation, establishment, management, governance and marketing of An Alternative Asset Management Company's and Oaktree's investment funds within the wealth management channels. The investment funds in scope include closed end private funds, open end private funds, open end registered funds and semi-liquid registered funds and global feeder funds into the above funds. The candidate will collaborate with legal and regulatory personnel and teams at both An Alternative Asset Management Company and Oaktree, as needed, and engage with external counsel to ensure alignment of legal and regulatory approach(es) across An Alternative Asset Management Company and Oaktree.

Key Responsibilities:
  • Coordinate onboarding of new intermediaries and assist with negotiation of placement agent agreements, letters of understanding, selling agreements and other product distribution-related agreements with the wealth management intermediary channels and platforms in relation to An Alternative Asset Management Company and Oaktree private fund and semi-liquid products
  • Review of private placement memorandum, limited partnership agreements, investment management agreements, and subscription agreements for the An Alternative Asset Management Company and Oaktree private funds, as well as feeder funds formed to obtain exposure to such private funds
  • Review prospectuses, organizational documents, investment management agreements, and subscription agreements for the An Alternative Asset Management Company and Oaktree registered funds, as well as feeder funds formed to obtain exposure to such registered funds
  • Engage with personnel from technology platform partners that An Alternative Asset Management Company contracts with to develop feeder fund structures for onshore and offshore distribution of products through wealth management intermediaries
  • Engage with An Alternative Asset Management Company's and Oaktree's internal and external legal counsel throughout negotiation of agreements with wealth management intermediaries
  • Review and negotiate general corporate and vendor-related agreements

Candidate Profile:
  • Juris Doctorate (J.D) from an accredited institution
  • Licensed to practice law and a member in good standing in the State of New York
  • 0-3 years of experience at a financial intermediary, private law firm, or within the asset management industry with a focus on private funds and/or semi-liquid offerings and distribution-related matters
  • Working knowledge of the rules and regulations impacting broker-dealers, onshore and offshore registered and private funds and semi-liquid offerings, Investment Advisers Act of 1940, Investment Company Act of 1940, private fund structuring and formation, and feeder fund formation
  • Working knowledge of, and experience working with and applying, the regulatory requirements and restrictions that apply to the marketing and distribution of private funds and semi-liquid offerings on a global basis
  • Experience negotiating placement agent agreements, dealer agreements, platform/services agreements
  • Familiarity with tax issues relating to private funds preferred but not required
  • Familiarity with private wealth management distribution preferred but not required
  • Strong client orientation with excellent interpersonal and communication skills, and ability to give commercial advice and guidance to internal clients
  • Desire to work in a team‐based entrepreneurial environment with an ability to collaborate and build relationships with individuals at all levels of the organization
  • Strong analytical, problem-solving and project management skills combined with attention to detail and thoroughness

Travel:
Employee will need to be flexible and open to travel both domestic and international as needed.
