About the role:
A National Healthcare Consulting Company is seeking an Assistant General Counsel who will be responsible for highly complex, difficult, and novel professional legal work for A National Healthcare Consulting Company, with supervision. As an Assistant General Counsel, you will provide legal advice to stakeholders on all matters. You must have a strong working knowledge of data privacy and healthcare legal matters, as well as state/local government and commercial contracting. The position is recognized as an advanced practitioner and performs work with the utmost independence.

You are ideally based in Philadelphia area or anywhere remotely from a place based in the Eastern Standard Time zone.

Key Responsibilities:
  • Works closely and cooperatively with colleagues across the Company to ensure the Company remains in compliance with relevant privacy and data security statutes, regulations, and third-party certification requirements.
  • Advises on and represents Company in contract negotiations. This may include state/local government and commercial contracting. Examines, prepares, reviews and edits contracts, procurement documents, proposals and other legal documents from clients, subcontractors, consultants, and vendors, including drafting BAAs, Data Use Agreements, and the like.
  • Assists with all phases of M&A activities, including due diligence, deal documents, outside counsel management, and integration.
  • Assists other functional areas and performs related work as required, including substantive health care work and supporting oversight and management of outside counsel engagements for general business or administrative matters.

Key Qualifications:
  • Law Degree from an ABA accredited institution
  • Admission in good standing in at least one U.S. jurisdiction is required. Admission in good standing (or the ability to obtain admission as corporate counsel within one (1) year) to the Pennsylvania Bar is required.
  • A minimum of 5 years of professional legal experience preferably in areas relevant to the Company services, including but not limited to, healthcare and privacy. Both in-house and firm experience preferred.
  • Knowledge of common law and state and federal laws relevant to Company business including, but not limited to, HIPAA, CCPA, and other major privacy regulations and frameworks.
  • Working knowledge of M&A preferred but not required.
  • Knowledge of the principles, methods, materials, and practices of legal research.
  • Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents and to present such material in clear and logical form.
  • Ability to interpret and draft contracts and other legal instruments.
  • Ability to establish and maintain effective working relationships.
  • Ability to communicate effectively.
  • Familiarity with contract management systems and compliance tools preferred.
