Do you want to join a growing and innovative organization? A Manufacturing Company is seeking an Assistant General Counsel based at our Eden Prairie, MN location. The Assistant General Counsel will play a critical part for the legal department by working closely with leadership and the A Manufacturing Company legal team to deliver full scope legal support that is aligned with company's strategic business goals and objectives.

Day to Day of the Role:
  • Provide strategic legal counsel regarding opportunities and risks on a variety of growth initiatives including corporate transactions, mergers and acquisitions, divestitures, joint ventures, equity investments, financing arrangements and other complex transactional and corporate matters.
  • Advising senior management and the Board of Directors on a range of issues, including strategic transactions, corporate governance and US securities matters.
  • Work closely with business teams to support management of employment matters.
  • Serve as an accountable, strategic business partner to business leaders, providing actionable advice that can be swiftly incorporated into risk-based, commercial decisions.
  • Assist in the development of processes/procedures, tools, resources and capabilities; support continuous improvement of the legal department's standard work, knowledge management and processes.
  • Perform special project and support continuous improvement of legal department standard work, knowledge management and process.
  • Monitor and improve controls and procedures to ensure compliance with all applicable laws and regulations.
  • When appropriate, identify and effectively manage external legal firms with a value-conscious approach.
  • Travel to other A Manufacturing Company locations will be required.

Education & Experience:
  • Law degree and license to practice law
  • JD from an ABA-approved law school and active member in good standing of the bar
  • Minimum of 7+ years of corporate experience in law firm or corporate legal department
  • Proven experience in successfully managing outside counsel on complex corporate transactions
  • Strong working knowledge of U.S. Securities laws, reporting requirements and corporate governance working on behalf of a publicly traded company
  • Strong academic credentials
  • Experience working in a complex, matrixed environment
