Job Summary:We are seeking a highly motivated Assistant Counsel to join our legal team. Reporting to the Senior Counsel, the individual in this role will work closely with various departments, providing support in drafting and reviewing contracts, with a focus on client and vendor contracting. Using sound judgment, the Assistant Counsel will provide timely, strategic, and practical legal advice that promotes A Healthcare Technology strategic objectives while mitigating legal and regulatory risks. Key Responsibilities:
- Provide legal support to the Sales and Account Management team and other internal business partners, including identifying issues in contracts, communicating risks, and explaining contract language
- Draft, review and negotiate a wide range of commercial and healthcare contracts, including client service agreements, vendor agreements, non-disclosure agreements, business associate agreements, and statements of work
- Review agreements drafted using client's or vendor's contract templates to ensure inclusion of necessary terms and propose alternative language, as needed
- Draft non-standard contract language or custom agreements based on negotiations
- Defend A Healthcare Technology position and rationale on contract terms
- Develop and maintain a strong understanding of A Healthcare Technology suite of product and service offerings, particularly in relation to evolving industry and regulatory landscapes
- Assist with the development and maintenance of template language to be used in contracts
- Develop and conduct training to educate internal stakeholders on contract law and contract management best practices
- Provide legal advice to the Finance team on contractual language related to pricing structures, and assist with special projects such as Requests for Proposals
- Research legal issues and prepare legal memoranda and correspondence

- J.D. degree from an ABA accredited law school
- Bar admission, in good standing, in at least one U.S. jurisdiction
- At least 1-3 years prior in-house or law firm experience
Preferred Qualifications:
- 2-4 years prior in-house or law firm experience
- Prior legal experience in the healthcare payor sector or managed care
- Experience working with cross functional teams or supporting a sales team
- Strong verbal and written business communication skills: highly adept at synthesizing and summarizing complex concepts into clear, concise and actionable communications
- Exceptional interpersonal skills: ability to foster collaboration with and influence colleagues to drive results
- Strong time and project management skills: ability to appropriately prioritize tasks and goals to ensure timely, on-target completion
- Detail-oriented and highly organized
- Ability and desire to learn new subject areas and willingness to take on new responsibilities
