Job Duties:
The Corporate Commercial Counsel will participate in and provide legal guidance to the Company’s stakeholders in the areas of mergers and acquisitions, general corporate governance, and contract preparation and interpretation. The Corporate Counsel will join a growing, collegial legal team headquartered in Atlanta, Georgia. The position will report directly to EmployBridge’s Corporate Counsel and will be responsible for legal support on a variety of commercial and transactional matters, including finance, treasury and debt agreements, corporate governance, board issues, subsidiary management, and M&A activity. The position requires the attorney to perform a broad range of responsibilities, including but not limited to:
  • Counsel and provide legal guidance on mergers and acquisitions
  • Draft, negotiate, and control workflow in connection with acquisitions
  • Oversee and participate in legal and cross-functional due diligence
  • Draft and negotiate term sheets and other transaction documentation
  • Support post-closing transactions and post-closing integration
  • Advise on transaction structures
  • Maintain knowledge of organization’s operations and legal documents
  • Manage and provide advice with respect to corporate governance requirements and best practices, including related documentation and research or benchmarking projects
  • Assist in preparation of Board materials
  • Assist with maintenance of subsidiary and franchise records and related requirements
  • Partner with the Company’s business units and functions – including product, procurement, sales, and information technology – to review, draft and negotiate contracts
  • Assist in establishing and administering various corporate procedures and policies
  • Partner with business units on any commercial disputes from identification through resolution
  • Partner with business units, including treasury, facilities, finance, investor relations and stock administration, to advise on day-to-day legal and regulatory issues
  • Willingness to take on non-M&A matters (e.g., managing franchise, contract, bankruptcy and data privacy matters with the assistance of outside counsel) and willingness to assist the Corporate Counsel with managing the Company’s IP portfolio and researching / reporting on new employment-related legislation relevant to Company operations.

Applicants for this role must meet the following requirements:
  • At least 3 or more years of relevant law firm experience in commercial transactions
  • Law degree from an accredited law school, current license to practice law, and active and in good standing membership with a state bar
  • Strong interpersonal, written, and oral communication and analytic skills
  • Good judgment and ability to clearly and effectively articulate reasoned recommendations
  • Ability to work in a fast-paced environment, juggle multiple priorities, and work with various stakeholders
  • Must be exceptionally organized
  • Experience in managing outside counsel to budget
  • Strong team player
